COUNSEL    M & A/ MEDIA CO   $TO 145,000.00 + BONUS


Our Client is among the world’s leading creators of programming and content across all media platforms.

Job Responsibilities:
- Drafting and negotiating legal agreements and disclosure documents.
- Conducting due diligence investigations.
- Performing legal research and analyzing and advising on a broad range of legal issues.
- Assisting other attorneys within the department on non-M&A assignments, as applicable.
- Supporting all senior attorneys within the department.

Qualifications:
- Ability to do contract drafting.
- Strong knowledge of various transactional structures and related issues.
- Knowledge of securities laws and regulations, and mergers and acquisitions case law and statutory laws and regulations.
- Communicate effectively with others, both verbally and in writing, including with outside third parties, client group and senior management.
- Manage small deal teams.
- Analyze and describe complex transactions and other matters.
- Digest large volumes of documents and other information.
- 3-5 years experience, preferably with a major corporate law firm, including 3+ years of experience specifically in mergers and acquisitions.
- Experience working on transactions and other matters relating to the above-referenced "necessary skills".
- JD from a top twenty-five law school preferred.
- Admitted to the New York State Bar






Corporate/IT Contracts Attorney - AVP - Job 1100

Their challenge lies in anticipating the changing needs of financial organizations and their investment professionals worldwide to strengthen their competitive positions and help them to better serve their clients.  

Contracts attorney with 3-7 years experience drafting and negotiating contracts such as consulting services agreements, software licensing agreements, click wrap agreements, outsourcing agreements, service level agreements, distribution agreements or any other contracts drafting and negotiation experience.  Attorney may also be responsible for assisting in privacy and security issues, trademark, and copyright.  

Attorney will be admitted in NY or NJ (or eligible for admission) with a degree from a recognized law school. Exposure and knowledge of intellectual property, including open source. Substantial amount of experience with contract negotiation and drafting, as well as general knowledge of Securities Act of 1933, the Exchange Act of 1934, Gramm Leach Bliley, trademark and copyright, and Privacy laws. 3-7 Years of legal, contract experience; Broker-Dealer experience preferred or willing to learn and sit for Series 7.






Litigation Counsel - VP - Job 1102

Our client is the source for a diverse array of securities trading, clearing, information management, and financial products and services. Their challenge lies in anticipating the changing needs of financial organizations and their investment professionals worldwide to strengthen their competitive positions and help them to better serve their clients.  

This attorney will handle civil litigation and general brokerage inquiries.  The attorney will track and manage cases (including cases in house) and pursue recovery through indemnity or otherwise.  When necessary, the attorney will liaise with law enforcement and regulators.

The attorney will be admitted in New York or New Jersey with a degree from a recognized law school.  The attorney should have relevant experience at a law firm, regulatory organization or brokerage firm.
