Description:
Provide broad range of paralegal support for corporate housekeeping functions, mergers and acquisitions matters, SEC compliance matters and financial and commercial transactions. Responsibilities include the following:

Corporate subsidiary/corporate housekeeping functions:  prepare and file annual franchise tax reports for approximately 300 domestic subsidiaries, prepare incorporations, dissolutions, name changes, qualifications, withdrawals and state merger documents in various jurisdictions, and help maintain current and historical corporate information electronically in  Secretariat database;

Hart-Scott-Rodino Notifications:  familiarity with HSR filing requirements and ability to prepare schedules for HSR filings;

Mergers and acquisitions:  prepare and review due diligence, draft board resolutions, prepare and file consents to transfer contracts and assets; on- and off-line research, including EDGAR, LexisNexis, Westlaw, etc.; manage corporate documentation including minute books and dealing with state corporation offices; prepare officer's and secretary's certificates; organize closings and coordinate closing matters;

SEC filings:  provide back up support for preparation and filing of annual report on Form 10-K and quarterly reports on Form 10-Q, proof drafts and final typeset versions thereof, and knowledge of and ability to provide back-up for preparation and filing of Section 16 filings;

Financial and commercial transactions: conduct lien searches and provide analysis of results, prepare closing binders and file original documents post-closing; review changes to Revised Article 9 concerning perfection of security interests.

Responsibilities will include other general legal department assignments.

NECESSARY SKILLS
Computer proficiency; extensive experience with Word; Excel, Acrobat Writer, Secretariat (Administration and Superviewer versions), CT Equity Compliance and EDGAREase.  Internet research skills essential (including LexisNexis, Westlaw, EDGAR, etc.)
Drafting basic

PARALEGAL MANAGER    SALARY OPEN AND COMMENSURATE WITH EXPERIENCE

Our client is more than 1,000 lawyers strong, with offices in 13 cities in the United States, Europe and Asia.

PRINCIPAL DUTIES AND RESPONSIBILITIES:
1.      Case management:  Responsible for distribution of caseload and daily project assignments spanning all New York practice groups to a department of roughly 35 Paralegals, Project Assistants and Docketing Clerks.  
2.      Departmental Management: Reviews monthly billable hours, biweekly overtime and timecard reports, caseload assignments, and individual experience levels within the department to determine ongoing recruiting requirements.
3.      Recruiting:  Works directly with staff recruiter and Director of Administration in developing job descriptions, review of resumes, first level interviews, and job offer and salary considerations for entire New York paralegal department.
